These Terms of Service ("Terms") govern your use of the protyparts.com website and your purchase of products from ProTParts. By accessing or using our Site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Use of the Site

You must be at least 18 years of age to make purchases on our Site. You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not use the Site:

(a) In any way that violates applicable federal, state, local, or international laws or regulations.

(b) To transmit unsolicited commercial communications.

(d) To introduce viruses, Trojan horses, worms, or other malicious code.

2. Product Information and Pricing

We make every effort to display accurate product descriptions, specifications, images, and pricing. However, we do not warrant that product descriptions or other content on the Site are accurate, complete, reliable, or error-free. Prices are subject to change without notice.

In the event of a pricing error, we reserve the right to cancel any order placed at the incorrect price. If your order is cancelled for this reason, you will be notified promptly and any payment collected will be fully refunded.

3. Orders and Payment

By placing an order, you represent that: (a) you are authorized to use the payment method provided; (b) the information you supply is accurate and complete; and (c) you are purchasing for commercial or fleet purposes and not for consumer retail resale without our prior written consent.

We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to cases of suspected fraud, inaccurate information, product unavailability, or pricing errors. If we cancel your order, we will notify you and issue a full refund of any charges collected.

All prices are in US dollars. Sales tax is applied where required by law.

4. Compatibility and Fitment

It is the buyer's sole responsibility to verify that any part ordered is compatible with the intended vehicle, system, or application before installation. We provide product descriptions and specifications as a guide only. We strongly recommend consulting a qualified mechanic or referring to your vehicle's service manual before ordering.

We are not liable for any costs, damages, or losses arising from the installation of incompatible parts.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROAIRPARTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR PRODUCTS PURCHASED, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SITE OR PRODUCTS EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

6. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Indemnification

You agree to defend, indemnify, and hold harmless ProTParts and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of products purchased from us, including any improper installation or use.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Dallas County, Texas.

YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR BE FOREVER BARRED.

9. Intellectual Property

All content on the Site — including text, graphics, logos, images, and software — is the property of ProTParts or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

10. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
